Position Overview :

We are seeking an in-house Senior Counsel to join the Siemens Corporation Corporate Legal Team. The Senior Counsel will be primarily responsible for advising supply chain management and global business service (GBS)-an internal and external provider of a portfolio of end-to-end services with a strong emphasis on digitalization in areas such as business administration, human resources, sales, marketing, and engineering. Hybrid work week in the following locations: Iselin, New Jersey; Alpharetta, Georgia; and Buffalo Grove, Illinois.

Major Responsibilities :

  • Provide strategic, commercial, and corporate legal support to all levels of management on commercial transactions for the purchase of goods and services on a wide variety of procurement topics [for example, IT procurement, logistics, commodities, marketing & communications, events planning, good and services] and to an internal and external provider of business services [for example, debt collection, accounting services, global mobility, payroll, taxes, and travel];

  • Structure third-party external business services in a manner compliant with applicable laws, regulations, and rules, including rules of professional conduct;

  • Independently draft and negotiate large and complicated commercial agreements in diverse subject matter areas, and draft correspondence in a clear and professional manner;

  • Identify key commercial, legal, data privacy, intellectual property ownership, antitrust, export control and other significant regulatory considerations;

  • Claim management, including, assessing contractual, litigation, compliance and other high-level legal risks and opportunities;

  • Provide practical, business-oriented and efficient solutions, as well as develop and advise on appropriate risk avoidance and mitigation strategies;

  • Ongoing counseling regarding (and efficient implementation of) various internal corporate policies, initiatives and/or programs;

  • Provide strategic guidance, model template creation, policy development and general legal support as needed;

  • Train and educate stakeholders/business partners on key legal considerations;

  • Ability to select, engage and manage outside counsel in a cost-effective and efficient manner; and

  • Other responsibilities as required.

Required Experience and Skills :

  • Juris Doctor from an accredited law school, and an active member in good standing with at least one state bar;

  • Seven plus years of experience advising a corporate client on all types of commercial transactions;

  • Experience identifying and advising on all legal issues affecting an internal and external service provider of a variety of business services;

  • Exemplary ability to independently lead and execute all phases of challenging transactions, from advising on structure, due diligence, negotiating, drafting, closing, and resolving post-close conflicts;

  • Adept at balancing critical legal oversight, risk avoidance and mitigation, with the need for practical, business-oriented, and efficient solutions to achieve business goals;

  • Outstanding negotiation, drafting, and communication and interpersonal skills, including ability to communicate with all levels of management;

  • Thrive in a high volume fast paced and constantly evolving work environment, and comfortable with tight deadlines;

  • Displays a strong stakeholder focus, business acumen, excellent business judgment, and decision-making skills;

  • Experience in navigating a global matrix organization with the ability to collaborate with multi-jurisdictional stakeholders, and establishing oneself as a reliable key resource across multiple teams;

  • Flexible with a willingness to learn new skills and take on new responsibilities; and

  • Willingness to travel occasionally (5 to 10 percent)
