Summary
We are looking for a curious Associate Corporate Counsel - Real Estate and Commercial to support MOD's legal efforts with respect to a growing real estate portfolio, as well as assist with a wide variety of commercial contract sand the legal aspects of other operational matters.
The Associate Corporate Counsel - Real Estate and Commercial serves as one of MOD's primary points of contact and is looked to as legal counsel for real estate, store development, construction, store design and a wide variety of commercial contract needs. As a member of a small team in a rapidly growing company, this role provides unique opportunity to broaden skill sets over time in a variety of functional areas. The position reports to the Director of Legal & Compliance.
Key Responsibilities
Responsible for negotiating and drafting a wide range of leases and related store development documents, including LOIs, SNDAs, estoppels, routine lease amendments and construction contracts;
Manage dispute resolution and litigation over lease disputes;
Manage and oversee the legal work of Real Estate Directors and Managers on the Store Development team with a variety of real estate services providers, including outside real estate counsel, real estate brokers, developers, title companies;
Responsible for negotiating and drafting a wide range of commercial, operational and technology agreements, including vendor contracts, software licensing, supply, professional services, content/data and creative services agreements:
Ability to efficiently review day-to-day contracts and identify and revise unfavorable business or legal terms
Ability to convert ambiguous and/or informal language into tightly-defined contract language
Use of independent judgment and creativity applied to resolution of contract issues
Support and communicate with business constituents; provide guidance and outstanding client service to internal business teams with respect to contract activity
Excellent contract tracking capabilities, enabling you to inform constituents on the status of any given contract at any given moment
Help develop training materials to educate clients on best practices in contracting
Provide legal support for operational aspects of the business, including supply chain, human resources, marketing, etc.
Must be able to work and exercise judgment independently.
Directly manages and oversees outside counsel and consultants.
Report to the Director of Legal & Compliance.
Basic Qualifications
Juris Doctorate required.
1+ years' experience in a law firm or corporate environment.
Experience drafting, negotiating and finalizing operational/day-to-day contracts is required.
Must be admitted to practice law and a member in good standing of a state bar.
High degree of professionalism and integrity.
Ability to handle sensitive and confidential situations with tact and diplomacy.
Ability to prioritize, organize and work efficiently, flexibly and independently in a high-volume, results-oriented environment.
A forward-looking attitude, with focus on opportunities rather than obstacles.
Analytical and detail-oriented.
Technologically savvy with excellent Microsoft Word and Excel skills and interest in learning other tools to facilitate efficient delivery of legal services
Manage contract lifecycle management (CLM) software and processes.
Strong communication skills with the ability to communicate across levels and departments.
Well organized, effective planner who can be counted upon to meet deadlines and commitments.
Preferred Qualifications
A background in corporate transactional work, including commercial real estate transactions, and knowledge of commercial contracting principles
Retail/hospitality/lodging industry experience preferred.
An understanding and commitment to MOD's values.
Physical Requirements
Office work involves remaining in a stationary position most of the time in front of a computer, using a keyboard, mouse and telephone. Regularly operate a computer and other office equipment. Occasionally move about the work site to access file cabinets, office equipment, etc. Exert up to 10 lbs. of force occasionally, and/or a negligible amount of force frequently or regularly move objects. Communicate and exchange information with co-workers and other individuals in person and electronically.
