In-House Senior Counsel - Private Equity / Equity Investments
Siemens is seeking an in-house Counsel to join our dynamic Legal M&A team in the U.S.
In this role, you'll play a pivotal part in advising Siemens Financial Services on private equity-style investments in growth companies, projects, and platforms across sectors like sustainability, energy transition, data center, infrastructure, and healthcare.
We're looking for a self-starter with exceptional judgment, capable of thriving independently and collaboratively within a team environment. As a trusted advisor to Siemens' business units, you'll need the ability to distill complex legal matters into comprehensible business risks and provide actionable recommendations. In this position, you will work a hybrid role out of our NYC office, working from home or the office as scheduled and necessary.
What are my responsibilities?
Acting as a trusted business advisor to business partners and senior management, including:
Advising on the acquisition and sale of shareholdings and the establishment of joint ventures.
Drafting, reviewing, and negotiating project and major transaction documentation such as: share purchase agreements, shareholders' agreements, articles of association, by-laws and other ancillary agreements, loan agreements, common terms agreements, security agreements, equity contribution agreements, project development agreements, EPC, and O&M contracts, teaming agreements, and concession contracts.
Guiding asset management and corporate governance of portfolio companies.
Managing participation in tender processes, primarily in North and South America, including PPP, BOT, and alliance models.
Structuring transactions for "bankability."
Selecting, mandating, and supervising external legal counsel.
You'll win us over by having the following qualifications.
Basic Qualifications:
Juris Doctor (JD) required.
8+ years of legal counsel professional experience in an international setting at a major law firm or - within the legal department of a large industrial or technology company.
Experience in private equity, growth investments, venture capital, M&A and infrastructure acquisition, disposition, and finance transactions.
Proficiency in joint venture agreements.
Preferred Qualifications:
Approachable, easygoing, and flexible demeanor.
Proficiency in reading, speaking, and writing in Spanish or Portuguese

The pay range for this position is $172,620 - $295,920. The actual wage offered may be lower or higher depending on budget and candidate experience, knowledge, skills, qualifications and premium geographic location.
